End User License Agreement (EULA):

This End User License Agreement ("Agreement") is a legal contract between you ("User" or "Licensee") and Baideac ("Licensor"), governing the use of Solution from Baideac ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. GRANT OF LICENSE

Licensor grants you a non-exclusive, non-transferable, limited license to install and use the Software for your internal business or personal purposes, subject to the restrictions outlined in this Agreement.

2. RESTRICTIONS ON USE

You may not: Modify, reverse engineer, or distribute the Software. Use the Software for any unlawful purposes. Transfer, sublicense, or lease the Software to any third party.

3. OWNERSHIP & INTELLECTUAL PROPERTY

The Software is the property of Baideac, and all associated copyrights, trademarks, and intellectual property rights remain with the Licensor.

4. PUBLICITY RIGHTS & USER CONSENT

By using the Software, you grant Baideac the right to use your name and your company’s name, logo, and general reference to your use of the Software in public advertisements, marketing materials, case studies, and promotional content. This includes, but is not limited to, displaying your name/company name on our website, brochures, presentations, and social media campaigns.

5. DISCLAIMER OF WARRANTIES

The Software is provided "as is" without warranties of any kind, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Licensor does not guarantee the Software will be error-free or uninterrupted.

6. LIMITATION OF LIABILITY

Under no circumstances shall Baideac be liable for any indirect, incidental, special, or consequential damages arising from using the Software.

7. TERMINATION

This Agreement is effective until terminated. The Licensor may revoke this license if you breach any terms without prior notice. Upon termination, you must cease using the Software and delete all copies.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of California, USA, without regard to conflict of law principles.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings, whether written or oral.
